Suchman (1995, p. 574) considers that “Legitimacy is a generalized perception or assumption that the actions
of an entity are desirable, proper, or appropriate within some socially constructed system of norms, values,
beliefs, and definitions”.
In our conception, the legitimacy theory is a mechanism that supports organisations in implementing and
developing voluntary social and environmental disclosures in order to fulfil their social contract that enables
the recognition of their objectives and the survival in a jumpy and turbulent environment.
The social perceptions of the organisation's activities are reported to the expectation of the society. In the
situation when the organisation's activities do not respect the moral values, the organisation is severely
sanctioned by the society; these sanctions may even lead to the failure of the organisation. The organisation
has to justify its existence through legitimate economical and social actions that do not jeopardize the
existence of the society in which it carries on, nor the environment.
Introduction
The new economic, social and environmental challenges dictate to the organisations and to the governments,
to respect the rules, values and norms, and to voluntarily disclose social and environmental information in
order to probe their compliance. Therefore, legitimacy theory plays the role of a justifiable factor for the
disclosure of the environmental information.
The global financial crisis and the instability of the financial markets put pressure on the organisations to re-
evaluate their values system and to emphasise the importance of legitimacy. The correlation of the tangible
financial resources with the intangible legitimacy resources is important for shaping a new organisational
vision. Many scholars have criticized the enhancement of the legitimacy theory (Mobus, 2005; Owen, 2008).
Legitimacy theory was sometimes seen only as a ‘plausible explanation of managerial motivations’ without any
real effort to determine how a disclosure “...may or may not promote transparency and accountability towards
non-capital provider stakeholder groups” (Owen, 2008, p. 248) and not like an instrument to be used for
making viable predictions (Mobus, 2005). Thus, the organisations must voluntarily disclose social and
environmental information in order to legitimate their legitimacy. The disclosure of information must be
accompanied by concrete actions realised in compliance with social and environmental norms and values.
The abstract nature of the legitimacy makes it very difficult to discover the mechanism by which the
organisations are motivated to voluntarily disclose social and environmental information. The organisation
often associates the symbolic representation of its image with its culture and considers that in order to attain
the legitimacy it is necessary only to improve its culture and to promote it in the external environment.
The legitimacy theory has a very rich disciplinary background based on management theory, institutional
theory, and stakeholder's theory. Strategically speaking, the sustainability of legitimacy theory is based on the
management heritage that connects the traditional norms and values with modern ethics. Therefore, this
chapter lays out the different answers to the following questions:
When should an organisation be considered legitimate?
When an organisation is considered legitimate? Who affect its legitimacy?
Is legitimacy an objective or an end for the organisation?
Paradoxically, the crucial role of legitimacy of organisations, institutions and society survival is motivated,
unfortunately, by negative social and environmental phenomena generated by the lack of legitimacy. The
legitimate literature suggests that the survival of an organisation depends on its legitimation processes and on
how the continuous pressures and challenges are managed. The purpose of the legitimation processes is to
obtain and maintain the stakeholders’ approval.

Future Directions
The strategic actions will be strictly bounded by the institutional environment and by accountability
requirements. Therefore, it is important to note that the long-term impact of legitimacy on the economic and
financial performance of the organisation will generate many internal conflicts of multi-dimensional construct
of legitimacy, which will influence the transition from legitimacy to illegitimacy and from illegitimacy to
legitimacy. Thus, the role of independent media, in driving the legitimacy of the organisations, will be very
important only if accompanied by the other stakeholders, community and government regulators.
The other studies will concern the role of the stakeholders in the manipulation of the community's perception
of the organisational legitimacy. The stakeholders should act to prevent the loss of legitimacy and not destroy
the image of an organisation. The role of stakeholders becomes a vital one in the prevention and reduction of
illegitimate risks, and the organisations will have the opportunity of a precise action at every level of
legitimacy based on the evolution and changes of the values and expectations of the society as a whole. In
this context, the trust becomes an element in shaping organisational legitimacy, and it reflects the
organisational behaviour.
Legitimation strategy is a very important mechanism that influences the perception of the organisation by its
stakeholders. Thus, the factors that help or impede the organisation in attaining, maintaining and defending
its legitimacy should be explored through empirical investigations.

Materiality is a crucial concept in accounting and auditing, allowing the determination of relevant matters from the perspective of the entity and its stakeholders. This paper addresses an objective linked to disclosures on materiality in sustainability reporting by assessing the content of the topics underlying the materiality matrix by the environmental, social and governance (ESG) dimensions. The study adopts archival research as a method and content analysis as an investigation technique, using as a source different types of consolidated sustainability reports of the entities that make up the main indices of Euronext for 2021. The findings identify the predominance of topics related to the social dimension, with differences by country and industry. This research contributes to the literature and practice, which include standard-setting bodies, regulators, auditors, and stakeholders of sustainability reporting. Such contributions are identified by a novelty analysis regarding the content of the materiality matrix, and by proposing future avenues regarding the disclosure of materiality within a relevant source of entities’ reporting.

This literature review examines the concept of environmental accounting and its potential impact on business sustainability, with a specific focus on Turkana County, Kenya. The review explores the existing literature on environmental accounting, including its global perspective, its application in Africa, and its relevance to the unique environmental and socio-economic challenges faced by Turkana County. The review also discusses empirical studies and theoretical frameworks related to environmental accounting and business sustainability. The findings highlight the importance of integrating environmental data and information into accounting systems and the potential benefits for businesses in terms of cost reduction, improved sustainability, and stakeholder engagement. The review concludes with the identification of research gaps and the significance of conducting a case study in Turkana County to contribute to the understanding of environmental accounting's practical implications in emerging economies.

Purpose This study aims to examine the relationship between institutional logics and specifications quality, and how this relationship is mediated by the legitimacy of the procurement process and stewardship behaviour. Design/methodology/approach This study draws on insights from institutional logics theory, and legitimacy and stewardship behaviour literature. We conducted an extended literature review to gain a comprehensive understanding of “institutional logics” and their manifestations in organizational contexts, utilizing the 2000–2024 data collected from the EBSCO, Scopus and Web of Science databases, complemented with Google Scholar. We gather that institutional logics manifest in several forms, and that while some organizations may thrive on a single logic, in certain contexts institutional logics can manifest in combinations – “multiple logics or hybrids”. Based on this understanding, we developed testable research hypotheses, predicting the influences of institutional logics – professional logic, efficient service logic and delivery (market) logic, on legitimacy, stewardship behaviour and specifications quality. We then carried out an empirical study, adopting a quantitative cross-sectional survey design with a self-administered questionnaire to test the hypothesized relationships. The empirical data were obtained from 162 procuring and disposing entities in Uganda and analyzed using the partial least squares structural equation modelling technique. Findings The study findings reveal that institutional logics exert a strong positive effect on the legitimacy of the procurement process and on stewardship behaviour, which, in turn, both positively influence specifications quality. Research limitations/implications The study findings have implications for theory and practice. The study findings provide useful insights that support the conceptual and theoretical development of institutional logics theory and applications in procurement literature. In addition, the study findings enhance procurement managers’ understanding of the mechanisms through which institutional logics can foster specifications quality. However, considering the fact that the study was conducted in a single country context, and focused on the public sector only, the findings of the study might not be generalizable globally. Originality/value This study contributes to established knowledge about quality management and procurement by examining the legitimacy of the procurement process and stewardship behaviour of those involved in procurement processes as mechanisms through which procuring entities are able to use institutional logics to enhance specifications quality. In addition, the study highlights areas for future research that may be explored to increase understanding of the value of institutional logics in ensuring specifications quality, and the link between specifications quality and the general performance of procuring entities.

The first goal of this research was to measure the impact of corporate social responsibility (CSR) on the sustainable development of an organization. However, the second objective examines the moderating influence of government policies, cultural norms, and stakeholder expectations on the relationship between CSR and an organization’s sustainable development. This research primarily focused on the enterprises operating in the energy industry in Beijing. A sample of 498 individuals holding management positions within these enterprises was collected. The study’s results established that CSR significantly influences the sustainable development of firms. Moreover, the results revealed that governmental regulations, cultural norms, and stakeholder expectations play a significant and positive role in moderating the impact of corporate social responsibility on the sustainable development of companies. The results of this study make a valuable contribution to the existing body of literature on CSR and its impact on the sustainable performance of enterprises in China.

The problems of pollution, global warming, and environmental damage are currently relevant and vital challenges for corporations, governments, and society. The implementation of green accounting is one of the responses of corporations to overcome sustainability issues. This study aims to examine the impact of green accounting on the level of environmental performance and the impact of environmental performance on corporate social responsibility (CSR) disclosure. This study also tests the role of environmental performance as a mediating variable in the relationship between green accounting and CSR disclosure. The sample consists of 95 listed Indonesian firms during the period 2017–2021. The results show that the adoption of green accounting positively affects environmental performance (coefficient is 0.291 and p-value < 0.01). Meanwhile, environmental performance positively affects CSR disclosure with a coefficient of 0.296 and a p-value < 0.01. The empirical evidence also shows that environmental performance has a critical role as a mediating variable in the effect of green accounting on CSR disclosure.

This study investigating the impact of sustainability committee characteristics (SCCs) on corporate sustainability performance (CSP) utilised environmental, social and governance (ESG) scoring. Based on secondary data obtained from Refinitiv, Fame and FTSE 150 databases, the sample consists of 112 non‐financial companies from 2010 to 2018, thus 926 firm‐year observations. The results reveal a positive and significant relationship between organisational factors including firm size, profitability and firm age across combined ESG and environmental scores. As for the sustainability committee characteristics, there is a positive association between frequency of committee meeting and age diversity with governance scores and a negative relationship between frequency of committee meeting and environmental performance. The empirical finding shows positive and negative relationships under the presence of focussed and non‐focussed committees equally. Furthermore, the presence of focussed or non‐focussed sustainability committees (SCs) do appear to have an association with the overall CSP. Furthermore, this paper provides empirical evidence of the insignificant relationship of SCC with the sub‐dimension of social performance, which contradicts our hypothesis and existing studies. Together with SCC's weak associations with environment and governance dimensions, this finding supports the argument that firms are actively using sustainability committees to create positive public image and reputation to protect legitimacy.

Purpose This study aims to explore COVID-19-related accounting disclosures using sociological disclosure analysis (SDA) within the context of the developing economy of Bangladesh. Design/methodology/approach COVID-19-related accounting disclosures from listed banks’ annual reports have been examined using three levels of SDA: textual, contextual and sociological interpretations. Data were gathered from the banks’ 2019 and 2020 annual reports. The study uses the legitimacy theory as its theoretical framework. Findings The research reveals a substantial shift in corporate disclosures due to COVID-19, marked by a significant increase from 2019 to 2020. Despite regulatory and professional directives for COVID-19-specific disclosures, notable non-compliance is evident in subsequent events, going concern, fair value, financial instruments and more. Instead of assessing the implications of COVID-19 and making disclosures, companies used positive, vague and subjective wording to legitimize non-disclosure. Practical implications The study’s insights can inform regulators and policymakers in crafting effective guidelines for future crisis-related reporting like COVID-19. The research adds to the literature by methodologically using SDA to explore pandemic-specific disclosures, uncovering the interplay between disclosures, legitimacy and stakeholder engagement. Originality/value This study represents a pioneering effort in investigating COVID-19-specific disclosures. Moreover, it uses the SDA methodology along with the legitimacy theory to analyze accounting disclosures associated with COVID-19.

This study examined the nexus between green banking practices and green financing sources of listed deposit money banks in Nigeria. The study anchored on the institutional theory and cross sectional survey research design was adopted with a population consisting of listed banks in Nigeria. The study used stratified random sampling of seven hundred and fifty (750) bank employees with questionnaire as the primary source of data collection from the respondents while only five hundred (500) were used for data analysis using univairate, bivariate and multivariate methods of data analysis. The results from the regression analysis disclosed that banks’ employee-related practices of green banking positively and significantly influence sources of green financing of deposit money banks in Nigeria; banks’ daily operations-related practices of green banking positively and significantly affect sources of green financing of deposit money banks in Nigeria; banks’ customers-related practices of green banking positively but significantly influence sources of green financing of deposit money banks in Nigeria; banks’ policy-related practices of green banking positively and significantly influence sources of green financing of deposit money banks in Nigeria and banks’ green investment related practices of green banking positively and significantly impact on sources of green financing of deposit money banks in Nigeria. Consequently, on the basis of the findings the study concluded that green banking practices positively influences the sources of green financing of deposit money banks in Nigeria. Therefore, the study recommends amongst others that banks’ in Nigeria should adopt contemporary banking practices that are ecofriendly as a means of enhancing the sources of green financing in Nigeria.

O objetivo geral do estudo foi analisar a relação entre o desempenho Environmental, Social and Governance (ESG) com a agressividade fiscal de empresas brasileiras do mercado de capitais. O universo do presente trabalho foi composto por todas as empresas não financeiras, listadas na B3, durante o período de 2010 a 2020. A amostra do estudo envolveu 78 empresas não financeiras listadas na B3, totalizando 858 observações. Visando mensurar a agressividade fiscal, utilizou-se da Book-Tax Difference (BTD) e para mensurar o desempenho ESG a pesquisa utilizou dimensões das vertentes ambiental, social e de governança em conjunto, bem como isoladamente. Foram mensuradas estatísticas descritivas, equações de regressão linear em painel e equações de regressão quantílica. De forma ampla, constatou-se diversas relações negativas e significativas entre as dimensões do desempenho ESG com a proxy BTD, revelando que empresas com o melhor desempenho ESG são menos agressivas fiscalmente. Assim, com esses achados, é possível avançar o conhecimento acadêmico, pois foi investigado de modo profundo uma proxy de agressividade fiscal inexplorada no contexto nacional. Além disso, de modo prático, os resultados sinalizam para os investidores e sociedade que empresas com destaque em práticas de Responsabilidade Social Corporativa (RSC) possuem menor agressividade fiscal.

Purpose-This study aims to examine the potential threshold effect in the association between corporate social responsibility (CSR) performance and social reputation. Design/methodology/approach-This study includes an international and cross-sector sample covering 41 countries, nine sectors and 45,395 firm-year observations. It applies a parabolic relationship, rather than linear regressions, between CSR engagement and social reputation via CSR awarding. This implies that CSR performance should increase until a certain point to gain a social reputation but then should decrease after reaching that threshold point considering limited financial resources. Findings-The findings of country-industry-year fixed-effects logistic regressions confirm the threshold effect with an inverted U-shaped relationship between CSR and CSR awarding. More specifically, firms increase their environmental and social engagement until a certain point, and then they reduce it after reaching a social reputation. This finding is confirmed by three dimensions of the environmental pillar (i.e. resource use, emissions and eco-innovation) as well as four dimensions of the social pillar (i.e. workforce, human rights, community and product responsibility). The findings are robust to alternative samples, alternative methodology and endogeneity concerns. Practical implications-The findings of this study have implications for firms about the better allocation of available funds between CSR and operations. The findings could be particularly useful for CSR teams/ committees of the firms who formulate CSR policies and how to mobilize firm resources for better social enhancement via environmental and social reputation. Originality/value-This study examines deeper the nature of the association between CSR engagement and social reputation and considers the possibility of an inverted U-shaped relationship between them. The determination of a threshold effect suggests that CSR engagement increases social reputation, but once it reaches a certain point, social reputation will decrease owing to financial resource constraints.

Now organizations are always vulnerable to the liabilities of newness, but such pressures are especially severe when an industry is in its formative years. We focus on one set of constraints facing entrepreneurs in emerging industries-their relative lack of cognitive and sociopolitical legitimacy. We examine the strategies that founders can pursue, suggesting how their successful pursuit of legitimacy may evolve from innovative ventures to broader contexts, collectively reshaping industry and institutional environments.

This article examines the concept of the corporate “social license,” which governs the extent to which a corporation is constrained to meet societal expectations and avoid activities that societies (or influential elements within them) deem unacceptable, whether or not those expectations are embodied in law. It examines the social license empirically, as it relates to one social problem–environmental protection–and as it relates to one particular industry: pulp and paper manufacturing. It shows try the social license is important, the circumstances in which it may encourage companies to go “beyond compliance” with regulation, how its terms are monitored and enforced, and how it interacts with what we term the regulatory and economic licenses. Overall, this research demonstrates that corporate environmental behavior cannot be explained purely in terms of instrumental threats and moral obligations to comply with the law, and that the increasing incidence of “beyond compliance” corporate behavior can be better explained in terms of the interplay between social pressures and economic constraints.

Stakeholder theory has been a popular heuristic for describing the management environment for years, but it has not attained full theoretical status. Our aim in this article is to contribute to a theory of stakeholder identification and salience based on stakeholders possessing one or more of three relationship attributes: power, legitimacy, and urgency. By combining these attributes, we generate a typology of stakeholders, propositions concerning their salience to managers of the firm, and research and management implications.

This article synthesizes the large but diverse literature on organizational legitimacy, highlighting similarities and disparities among the leading strategic and institutional approaches. The analysis identifies three primary forms of legitimacy: pragmatic, based on audience self-interest; moral, based on normative approval: and cognitive, based on comprehensibility and taken-for-grantedness. The article then examines strategies for gaining, maintaining, and repairing legitimacy of each type, suggesting both the promises and the pitfalls of such instrumental manipulations.

This paper reviews the use of the legitimacy concept and presents a model integrating resource-exchange and communication-based perspectives. The review critiques tautologies and teleologies deriving from insufficiently grounded abstract analyses. The model shows that legitimation comes from constituencies through conferral of resources and communication of good will.

While many sociologists have noted that organizational legitimacy is important for organizational survival, legitimacy has been infrequently empirically examined. This paper presents a conceptual framework in which organizational legitimacy is defined as the congruence between the values associated with the organization and the values of its environment. Challenges to organizational legitimacy and responses to these challenges are illustrated in a discussion of the American Institute for Foreign Study. Corporate philanthropic contributions, the composition and size of boards of directors, and the content of annual reports and other organizational communications are presented as efforts on the part of organizations to achieve legitimacy. The focus on processes of organizational legitimation can be used in analyzing a variety of organizational behaviors that are components of organization-environment interaction.

Purpose The purpose of this study is to examine the relationship between mandatory environmental performance disclosure and subsequent environmental regulatory performance. Design/methodology/approach Using legitimacy theory as the interpretive lens, regulatory non‐compliance disclosures threaten organizational legitimacy and non‐compliant firms are expected to respond to these threats. The potential effectiveness of different legitimation strategies for reducing these threats is evaluated. Findings Regression analysis shows a negative correlation between the mandatory disclosure of environmental legal sanctions and subsequent regulatory violations using firms in the US oil refining industry. These results are interpreted as demonstrating that subsequent regulatory compliance is a tactic employed by managers to minimize the delegitimizing effect of organizational impropriety revealed by mandatory accounting disclosures. Practical implications Implications for practice include linking financial reporting to environmental performance. This link gains greater importance as concern about the environmental effects of business operations becomes more acute within the investor, regulatory, and public interest arenas. Originality/value The paper makes original contributions to research on mandatory environmental disclosures that are embedded in US financial reporting. In addition, a conception of legitimacy theory that is broader than previously relied upon in accounting research literature is reviewed. The study examines a single industry within a single country. Further research may determine whether similar relationships are observed in other industries, and whether equivalent relationships can be examined in international settings. In addition, the possibilities and limits of regulatory compliance as a measure of environmental performance, and of environmental accounting as a policy tool in the governance of the commons are discussed.
